These terms apply when you use smartdecision.io and its subdomains, and when you buy a SmartDecision license. Installing and using the software itself is covered by the License Agreement, which is part of these terms. If the two differ on the software, the License Agreement applies.

1. Who we are

SmartDecision is made and sold by WIN GRAVITY SRL ("Wingravity", "we", "us"), a company registered in Romania with its registered office at Strada Dacia, nr. 1, Camera 1, 700259 Iași, Trade Register number [Trade Register number: to be added], tax identification number RO37233986. You can reach us at support@smartdecision.io.

2. Business customers only

SmartDecision is sold to businesses and organisations for use in their work, not to consumers. By buying a license you confirm that you are acting for a business or organisation and that you are authorised to accept these terms on its behalf. "You" and "the customer" mean that business or organisation.

3. Buying a license

• You buy through our checkout or on an invoice we send you. Payments are processed by Stripe; we never receive or store your card details.
• A license is an annual subscription priced per production instance, as shown at checkout or on your invoice. Prices are in euros and exclude VAT.
• VAT is added where it applies. Business customers in the European Union who give a valid VAT number are invoiced under the reverse-charge rules.
• The contract is formed when your payment succeeds or, for invoices, when you accept the invoice.

4. Delivery

After payment we email your license key to the billing and technical contacts you gave us. You download SmartDecision from get.smartdecision.io with that key. The license key is the credential for your downloads and updates: keep it within your organisation and do not publish it.

5. Term, renewal and cancellation

• Each subscription runs for one year from the date of payment.
• It renews automatically for another year, and we charge the payment method on file, unless you cancel before the end of the current year. After each renewal we email you a new license key.
• You can cancel at any time in the billing portal (sign in with your billing email), or by emailing us. The billing portal is also where you update your payment method and download your invoices. Cancelling stops the next renewal. Your license stays valid until the end of the year you paid for.
• We tell you about a price change at least 30 days before it applies to your next renewal. If you do not accept it, you can cancel before the renewal.
• If a renewal payment fails, Stripe retries it and emails you. Nothing changes on your servers until your license expires, and the software then follows the expiry stages in the License Agreement.

6. Refunds

If you are not satisfied, you can ask for a full refund within 30 days of the first payment for a license, without giving a reason. Email us from your billing address. When we refund, your license can no longer download software or updates. Renewal payments are not refundable; cancel before the renewal date if you do not want to continue.

7. Support and updates

• Support is by email at support@smartdecision.io. We aim to reply within 2 business days. Support covers installing, updating, licensing, and defects in SmartDecision. It does not cover designing your own business rules.
• During your subscription you can download every new version. We publish bug and security fixes for the latest two minor versions, and you can upgrade from any older version directly to the latest.
• We announce security fixes to your technical and billing contacts on the day we release them.

8. Using the website

You may use smartdecision.io to learn about SmartDecision and try the live demos. Do not attempt to disrupt, overload, or gain unauthorised access to the website, the demos, or the download portal, and do not use them to break the law. The demos run on sample data and are illustrations, not advice. The content of the website belongs to us or our licensors.

9. Liability

Our total liability arising from these terms, the website, and your purchase is limited to the amounts you paid us in the 12 months before the event that caused the claim. We are not liable for indirect or consequential losses, lost profits, lost revenue, or lost data. These limits do not apply to liability that the law does not allow us to limit, including liability for intent or gross negligence. The License Agreement sets out the same limits for the software.

10. Changes to these terms

We may update these terms. The date at the top shows the current version. For existing customers, a material change takes effect at your next renewal, and we email you at least 30 days before it does.

11. Governing law

These terms are governed by the laws of Romania. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The competent courts at our registered office have jurisdiction over any dispute.
